Celovest is a digital platform designed to facilitate connections between property owners, businesses, project developers, investors, buyers, sellers, and other relevant parties.

Our Services may include:

• Property listings and marketplace services
• Investment opportunity presentation
• Investor connection and introductions
• Business and project proposal submissions
• Property and project development opportunities
• Facilitation of communication between relevant parties
• Related advisory, coordination, and support services

Unless expressly stated otherwise in a separate written agreement, Celovest does not itself guarantee, endorse, finance, acquire, sell, or invest in every property, business, or investment opportunity presented through the platform.

By accessing, registering with, submitting information to, or otherwise using Celovest, you agree to be legally bound by these Terms and any applicable policies referenced within them.

Celovest reserves the right to amend, update, or replace these Terms from time to time. Updated Terms may be published on the website, and continued use of the Services after an update constitutes acceptance of the revised Terms.

Users must provide accurate and truthful information when using Celovest.

You are responsible for ensuring that your use of the Services complies with all laws and regulations applicable to you.

Celovest may refuse registration, suspend an account, or restrict access where information appears inaccurate, misleading, fraudulent, or otherwise inappropriate.

Where account registration is required, you are responsible for:

You must notify Celovest if you believe your account has been accessed or used without authorization.

Property information displayed on Celovest may be provided by property owners, agents, representatives, developers, or other third parties.

• Property descriptions
• Development potential
• Financial information
• Legal or planning information

Although Celovest may conduct verification or screening procedures for selected listings, Celovest does not guarantee that every piece of information supplied by a third party is complete, accurate, current, or error-free.

Users should independently verify all material information before entering into any transaction.

Where Celovest identifies a listing as “Verified”, “Reviewed”, or uses similar terminology, such designation refers only to the specific verification or screening process undertaken by Celovest.

Such verification does not constitute a guarantee of:

• Legal title
• Ownership
• Property valuation
• Planning permission
• Development approval
• Financial performance
• Investment returns
• Future market value

Users should obtain independent legal, financial, valuation, surveying, and other professional advice where appropriate.

Celovest may present businesses, projects, properties, and other opportunities that may be suitable for potential investment.

Information relating to an investment opportunity may include estimates, projections, business plans, expected returns, market assumptions, or other forward-looking information.

Such information is provided for informational and evaluation purposes only and does not constitute a guarantee of future performance or investment return.

Investment involves risk. Users are responsible for conducting their own due diligence and obtaining independent professional advice before making an investment decision.

Celovest does not guarantee:

• That an investment opportunity will be successful
• That an investor will receive a particular return
• That projected revenue or profits will be achieved
• That a business will remain operational
• That a property will increase in value
• That an investment transaction will be completed

Past performance or projected performance should not be interpreted as a guarantee of future results.

Celovest may facilitate introductions between businesses, project owners, property owners, and potential investors.

An introduction does not constitute:

• An investment commitment
• An endorsement of either party
• A guarantee of funding
• A guarantee that negotiations will succeed
• A guarantee that a transaction will be completed

The parties are responsible for conducting their own negotiations, due diligence, legal documentation, and final agreements.

Users may submit business ideas, existing businesses, project proposals, investment requirements, or other related information through Celovest.

Users represent that:

• The information submitted is accurate to the best of their knowledge
• They have the right to provide the information
• The submission does not knowingly infringe another person’s intellectual property or legal rights
• The submission does not contain fraudulent or misleading information

Celovest reserves the right to review, reject, modify, suspend, or remove any submission.

Celovest will take reasonable measures to handle confidential information appropriately.

However, users acknowledge that submitting information through an online platform does not necessarily create a legally binding confidentiality or non-disclosure relationship.

Where a project or business requires formal confidentiality protection, the relevant parties may be required to enter into a separate Non-Disclosure Agreement (NDA) or other written agreement.

Users are responsible for conducting appropriate due diligence before entering into any transaction.

Depending on the nature of the opportunity, this may include:

• Legal due diligence
• Title verification
• Financial analysis
• Business verification
• Property valuation
• Tax review
• Regulatory review
• Environmental assessment
• Technical assessment
• Background checks

Celovest may assist with coordination or introductions to relevant professionals, where available, but such assistance does not replace independent professional advice.

Certain Celovest Services may be subject to fees, commissions, subscription charges, listing fees, service fees, success fees, or transaction-related charges.

Where applicable, the relevant fee structure will be communicated to the relevant party before the applicable service is provided or transaction is completed.

Unless otherwise agreed in writing, applicable taxes, government charges, professional fees, legal fees, banking charges, and other third-party costs may be payable separately.

Celovest may facilitate communication or introductions between parties, but the final transaction is entered into directly between the relevant parties unless Celovest is expressly identified as a contracting party.

Users are responsible for reviewing and understanding any agreement before signing it.

Celovest is not responsible for disputes arising from agreements entered into directly between users or third parties, except to the extent required by applicable law.

Celovest may refer or connect users with third-party professionals or service providers, including lawyers, valuers, surveyors, financial professionals, developers, agents, consultants, or other service providers.

Unless expressly stated otherwise, such third parties operate independently of Celovest.

Users should independently assess the suitability and qualifications of any third-party service provider.

Users may submit photographs, videos, documents, descriptions, business plans, proposals, property information, trademarks, logos, and other content (“User Content”).

By submitting User Content, you confirm that you have the necessary rights and permissions to provide that content to Celovest.

You grant Celovest a non-exclusive right to use, reproduce, display, format, and publish such content for the purpose of providing and promoting the Services, subject to applicable law and our Privacy Policy.

All intellectual property relating to the Celovest platform, including its:

• Name
• Logo
• Branding
• Website design
• Graphics
• Text
• Software
• Database structure
• Original content

belongs to Celovest or its respective licensors unless otherwise stated.

Users may not reproduce, copy, distribute, modify, sell, or commercially exploit Celovest intellectual property without prior written permission.

Users must not use Celovest to:

• Submit fraudulent property or business information
• Provide false documents
• Misrepresent ownership or authority
• Conduct unlawful activities
• Mislead investors or other users
• Infringe intellectual property rights
• Attempt unauthorized access to the platform
• Introduce malicious software
• Abuse or harass other users
• Use the platform for purposes prohibited by applicable law

Celovest may suspend or terminate access where prohibited conduct is identified or reasonably suspected.

The information available through Celovest is provided for general informational and facilitation purposes.

Celovest does not warrant that all information is:

• Accurate
• Complete
• Current
• Error-free
• Suitable for a particular purpose

Users should not rely solely on information displayed on the platform when making legal, financial, investment, property, or business decisions.

To the maximum extent permitted by applicable law, Celovest shall not be liable for losses arising from:

• Inaccurate information supplied by third parties
• Failed negotiations
• Failed investments
• Business losses
• Property transaction failures
• Changes in market conditions
• Third-party actions
• Loss of anticipated profits
• Website interruptions or technical failures

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, users agree to indemnify and hold Celovest and its directors, employees, representatives, and service providers harmless from claims, losses, liabilities, damages, costs, or expenses arising from:

• Their breach of these Terms
• False or misleading information submitted by them
• Their unlawful use of the Services
• Their violation of another person’s rights
• Transactions entered into with other users or third parties

Celovest may suspend, restrict, or terminate access to the Services where:

• These Terms are breached
• Fraudulent or misleading activity is suspected
• Applicable law requires such action
• The platform or service is discontinued
• Information submitted is materially inaccurate
• The account presents a security or operational risk

Termination does not automatically release a user from obligations that arose before termination.

Celovest may collect and process personal information necessary to provide its Services.

Such information may include contact details, account information, business information, investment requirements, and other information submitted by users.

Personal information will be handled in accordance with Celovest’s Privacy Policy and applicable Sri Lankan data-protection laws.

The Celovest platform may contain links to third-party websites or services.

Celovest does not necessarily control or endorse such third-party websites and is not responsible for their content, availability, security, privacy practices, or services.

Users access third-party websites at their own discretion and risk.

Celovest aims to maintain reliable access to the platform but does not guarantee that the website or Services will always be available, uninterrupted, secure, or free from errors.

Celovest may temporarily suspend access for maintenance, updates, security reasons, or other operational requirements.

These Terms shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, subject to applicable mandatory legal provisions.

Any dispute arising in connection with these Terms or the Services shall be addressed through appropriate dispute-resolution procedures and, where necessary, the competent courts of Sri Lanka.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms, together with any applicable Privacy Policy, Investment Disclaimer, Property Listing Terms, service agreements, and other written agreements between the parties, constitute the applicable agreement governing the use of the relevant Celovest Services.
